What is Fiduciary service?

A fiduciary is one who undertakes the obligation to act for and on behalf of another in a particular matter in circumstances which give rise to a relationship of trust and confidence. A fiduciary is to exercise highest degree of care and utmost good faith in maintenance and preservation of the principal's assets and rights. There are 2 kinds of Fiduciary services we provide, namely:

  • Nominee Director
  • Nominee Shareholder
Why Nominee Director?

The Companies Act requires all Private Limited companies to have at least one director who is a "ordinarily resident in Singapore above the age of 18 and requires the names and residential addresses of the company secretary, directors and shareholders be available to the public.

  • Singaporean Citizen
  • Singaporean Permanent Resident
  • A person who has been issued an Entrepass/Approval-In-Principle letter/Dependant Pass

We can act as a nominee director to comply with The Companies Act requirements in the event you:

  • Are not any of the above mention
  • For some reasons you are not eligible to be a company director
  • Wish to remain anonymous
Roles & Obligations of a Nominee Director

The Nominee director has no authority or obligations in the company and has also no interest in the company. The nominee director will not have any role in the company except to comply with the statutory requirements of a local resident director.

Why Nominee Shareholder?

For the privacy reasons or to avoid corporate intelligence investigations, some corporate clients do not want their personal particulars to be shared to the Public. They will need to appoint nominee shareholders. The nominee shareholder will be acting as a trustee holding on to the shares behalf of the beneficial owner and will return the shares to the name of the beneficial owner when requested.
